Welcome to Petsly Studio! These Terms of Service ("Terms") are a legal agreement between you ("User" or "you") and Avanti-AI, Inc, the owners of Petsly Studio ("Company," "we," "us," or "our"). By creating an account or using Petsly Studio's website and services (collectively, the "Services"), you agree to these Terms. Please read them carefully. If you do not agree, you must not use the Services.

Eligibility and Age Requirements

Minimum Age: You must be at least 16 years old to use Petsly Studio. If you are under the age of majority in your jurisdiction (typically 18), you must have permission from a parent or legal guardian to use our Services.

EEA/UK Users: If you reside in the European Economic Area (EEA) or United Kingdom, you must be at least 16 years old to use Petsly Studio. If you are under 16, a parent or guardian must review and accept these Terms on your behalf for you to use the Services.

By using Petsly Studio, you represent and warrant that you meet the applicable age requirements and have the legal capacity to agree to these Terms.

Account Registration and Security

You agree to provide accurate, current information when creating an account. You are responsible for safeguarding your account credentials and for all activity under your account. Notify us immediately at info@avantiai.co if you suspect any unauthorized use of your account. We are not liable for any loss or damage resulting from your failure to maintain the security of your account.

User Content and Ownership

User Content: Petsly Studio allows you to upload images, photos, or other content ("User Content") to generate new AI-created images ("Generated Images" or "Outputs"). You retain full ownership of all rights in the User Content you upload, as well as any Generated Images created from your inputs. As between you and Petsly Studio, you own your content.

Your Rights: Uploading content to Petsly Studio does not transfer ownership of your original images or your Generated Images to us or any third party. You continue to hold any intellectual property rights you have in the content you upload and in the results produced for you.

Your Responsibilities: You are solely responsible for the User Content you upload. By uploading any content, you represent and warrant that you have all necessary rights and permissions to use that content with our Service. Only upload images that you own or have legal rights to use (for example, photos you took yourself, or images you have permission to use). If your content depicts other people or third-party material, you must have consent or the legal right to include them.

Prohibited Content: You agree not to upload content that is illegal, infringing, hateful, pornographic, obscene, harassing, or that otherwise violates these Terms or any applicable law. Content that violates anyone's intellectual property rights or privacy rights is strictly prohibited. We reserve the right to remove or disable content that violates our policies or applicable law (see Acceptable Use below).

License to Petsly Studio for Service Provision

To operate our Services and generate images for you, we need certain permissions from you regarding your User Content. By using Petsly Studio, you grant us a limited, worldwide, non-exclusive, royalty-free license to use, copy, modify, transmit, and create derivative works from your User Content solely for the following purposes:

Image Generation and Fine-Tuning: We may use your uploaded images to fine-tune and personalize AI image generation models on your behalf. For example, if you choose to create a custom model or style with your photos, Petsly Studio (via third-party providers such as Replicate or similar services) will use your images to train a model tailored to you. This license allows us to process your images as needed to generate your requested outputs and any personalized models.
Metadata Extraction: We will analyze your uploaded images using automated vision tools to extract metadata (such as colors, objects, scenery, clothing, or other features present in the image). Extracting this metadata helps Petsly Studio create better prompts and improve the quality of the images generated for you. You acknowledge and agree that this analysis is performed on all uploaded content by default as part of the Service. We may utilize third-party computer vision APIs or services (for example, reputable image recognition providers) to perform this metadata extraction. We reserve the right to choose any compliant vision API service provider for this purpose. These providers will only be given access to your images under obligations of confidentiality and compliance with data protection laws.
Storage and Processing: You permit us to store your User Content and processed data (such as extracted metadata or fine-tuned model parameters) on our systems or those of our service providers as needed to provide the Services. This includes temporary storage and processing for up to 24 hours for initial model training, and retaining derivative data (like personalized models or embeddings) for up to 30 days to enable reuse or incremental improvements. (See Data Retention below for more details.)

This license to your content is only for the purpose of operating, maintaining, and improving the Services for you. We will not use your uploaded content for any purposes outside of those described in these Terms without your consent. This license ends when your content is deleted from our systems.

Optional Data Sharing for Improvement (Opt-In)

Petsly Studio offers an optional, opt-in program to help improve our products and AI models. If (and only if) you explicitly choose to opt in, you grant us additional permissions to use your data in the following ways:

Anonymized Data Use: You allow us to use your User Content and Generated Images, in anonymized or aggregated form, for the purposes of improving Petsly Studio's services. This includes using such data for internal research, product evaluation, developing better prompts, enhancing our model's safety measures, and performing small-scale fine-tuning based on user feedback (similar to Reinforcement Learning from Human Feedback, RLHF).
Scope of Use: If you opt in, your content and outputs may be reviewed by our team or trusted contractors for the purposes above, and used to refine our algorithms and training data. We will not publicly share your raw content or personal data. Any data used for these improvement purposes will be stripped of personal identifiers and handled in accordance with our Privacy Policy.
No Sale of Personal Data: Opting in does not mean we sell your data. It is only used internally to improve the product and user experience.

This improvement program is completely voluntary. Your use of Petsly Studio is not conditioned on participation, and declining or later withdrawing will not limit your access to core features.

Withdrawal of Consent for Optional Use

If you opt in to the improvement program, you can change your mind at any time:

How to Withdraw: You can withdraw your consent by changing your preferences in your account settings or by contacting us at info@avantiai.co. Once you opt out, we will stop including your future uploads or generations in our improvement processes.
Effect of Withdrawal: Upon withdrawal, we will cease any new use of your content for the optional improvement purposes. Any anonymized data already incorporated into our models or analyses may continue to be used (we cannot un-learn data that has already been used to train models), but we will not use your data in any further training or evaluation rounds. We will also halt any human review of your content for these purposes.
Confirmation: We will confirm through the app or via email when your opt-out request has been processed. Please allow a reasonable time for us to fully remove your data from any active improvement pipelines.

Data Retention and Storage

We take care to retain your data only as long as necessary for the purposes described:

Training Data: Uploaded images used for model training or fine-tuning are retained for a short period (typically up to 24 hours) to complete the training process. After this initial processing, the original images are deleted from our active databases.
Derived Data: If a model is fine-tuned on your content or metadata is extracted from your images, the resulting model parameters, prompts, or metadata may be stored for up to 30 days to allow you to reuse your personalized model and for us to improve your results over time. If you continue to actively use the model or Service, this 30-day period may reset (for example, we may retain the fine-tuned model for 30 days from your last use to support ongoing functionality).
Account Content: Any Generated Images you choose to save in your Petsly Studio account or gallery will remain available to you until you delete them or close your account, subject to our storage limits and policies.
Deletion Requests: If you delete specific content via the Petsly Studio interface or request deletion of your account, we will remove or anonymize the associated data from our systems within a reasonable timeframe, except for any data we are required to keep for legal compliance or legitimate business purposes.
Backups and Logs: Residual copies of your data may persist in secure backups or system logs for a short period after deletion, but will be purged according to our regular deletion schedules. During this time, your data remains protected under these Terms and our Privacy Policy.

Your Privacy and Data Rights

We respect your privacy and aim to give you control over your personal data. Please also review our Privacy Policy for more details on how we collect and use data. Subject to applicable law, you have the following rights regarding your personal data:

Access and Portability: You have the right to request a copy of the personal data we hold about you, and to receive it in a commonly used electronic format (this is known as data portability).
Correction: You can ask us to correct or update inaccurate or incomplete personal information we have about you.
Deletion: You may request deletion of your personal data. We will delete the data we hold about you (along with your account, if applicable), unless we are legally permitted or required to retain certain information (for example, for security, fraud prevention, or compliance with legal obligations).
Opt-Out of Processing: You have the right to opt out of certain data processing activities. For instance, you can opt out of the optional improvement program (described above) or unsubscribe from marketing communications.
Objection/Restriction: In certain circumstances, you may have the right to object to or ask us to restrict the processing of your data (for example, if you contest the accuracy of the data or have a legitimate objection to our processing).

How to Exercise Rights: To exercise any of these rights, please contact us at info@avantiai.co. We may need to verify your identity before fulfilling your request for security purposes. We will respond within the timeframe required by applicable law and let you know if any exceptions apply.

Acceptable Use and Conduct

When using Petsly Studio, you agree to follow these rules and refrain from any misuse of our Services:

Lawful Purposes Only: Use the Services only for lawful purposes and in compliance with all applicable laws. You will not use Petsly Studio to create or share content that infringes anyone's copyrights, trademarks, or other intellectual property rights, or that violates any law or regulation.
No Harmful or Offensive Use: Do not use the Services to generate or disseminate content that is illegal, harmful, or objectionable. This includes content that is sexually explicit or pornographic, exploits or endangers minors, depicts non-consensual intimate imagery, incites violence or hate, harasses or bullies individuals, is defamatory, or is otherwise inappropriate or likely to cause harm.
No Privacy Violations: Do not upload images that contain personal data of others without proper consent or legal right. For example, do not upload photographs of people without permission if required, and do not use Petsly Studio to engage in facial recognition or surveillance activities that could violate privacy rights.
Respect Others' Rights: Only upload content that you have the right to use. Do not attempt to generate images of real people (especially public figures or celebrities) in a manner that infringes their rights of publicity or privacy, or for any commercial use without proper authorization. Do not use the Service to impersonate someone or misrepresent your affiliation with any person or entity.
Service Integrity: Do not interfere with the normal operation of the Services. You agree not to engage in any activity that could harm or overburden our infrastructure, such as spamming requests, attempting to circumvent security measures or access systems without authorization, introducing viruses or harmful code, or reverse engineering the software or models. Any attempt to exploit the Service or access parts of the system not intended for you is strictly prohibited.
Compliance with Policies: Follow any additional guidelines or policies we provide (such as community standards or usage guidelines). We may update such policies from time to time, and we will notify users of any significant changes.

If you violate the above rules or any other provision of these Terms, we may suspend or terminate your access to Petsly Studio (see Termination below). Serious violations may also result in legal action or referral to law enforcement.

Termination of Service

We reserve the right to suspend or terminate your account or access to the Services at any time, with or without notice, if we believe (in our sole discretion) that you have violated these Terms, violated applicable law, or otherwise engaged in behavior that is harmful to Petsly Studio, our users, or third parties. If your account is terminated or suspended, you remain bound by these Terms. Upon termination, you will no longer have access to the Services, and we may delete or deactivate your account and all information associated with it, including your content (unless we are required to retain it by law). You agree that we will not be liable to you or any third party for the termination of your access or deletion of your content in such circumstances. You are free to stop using Petsly Studio at any time. You may delete your account through the account settings or by contacting support. If you do so, we will handle your data as described in Data Retention above and in our Privacy Policy. Certain sections of these Terms will survive termination of your account, including (but not limited to) User Content and Ownership, License to Petsly Studio, Disclaimers, Limitation of Liability, Indemnification, and Governing Law.

Disclaimer of Warranties

Use at Your Own Risk: Petsly Studio provides the Services on an "AS IS" and "AS AVAILABLE" basis. While we strive to offer a great service, we make no representations or warranties that Petsly Studio will meet your needs or expectations, or that it will always be available, error-free, or secure.
No Guarantee of Results: We make no guarantee regarding the quality, accuracy, or suitability of any Generated Images or other results obtained through the Service. AI-generated content can be unpredictable and may not always produce desired or intended results. You understand that outputs may be inaccurate, offensive, or infringing, and you use them at your own discretion and risk.
General Disclaimers: To the fullest extent permitted by law, Petsly Studio disclaims all warranties of any kind, whether express, implied, or statutory, regarding the Services. This includes any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties that may arise from course of dealing or usage of trade. We do not warrant that the Services will be uninterrupted or error-free, that defects will be corrected, or that the Services are free of viruses or other harmful components.
Not Responsible for User Content: You understand that we do not control, and are not responsible for, the content that users upload or the images generated by the AI. We do not endorse any User Content or results, and we are not liable for any mistakes, defamation, obscenity, or illegalities you might encounter by using the Services.

Some jurisdictions do not allow the exclusion of certain warranties. If such laws apply to you, some of the above disclaimers may not apply, and in that case we limit our warranties to the maximum extent permitted by law.

Limitation of Liability

To the maximum extent permitted by law, Petsly Studio and its affiliates, officers, employees, agents, and partners will not be liable for any indirect, incidental, special, consequential, or exemplary damages arising out of or in connection with your use of the Services or these Terms. This limitation applies to any damages for lost profits, lost data, loss of goodwill, service interruption, computer damage, or system failure, or the cost of substitute services, even if we have been advised of the possibility of such damages.

Liability Cap: In no event will Petsly Studio's total, aggregate liability to you for all claims relating to the Services or these Terms exceed the greater of: (a) the total amount (if any) you paid to Petsly Studio for the Service in the 12 months immediately before the event giving rise to the liability, or (b) USD $100. If applicable law does not allow the limitation of liability as stated above, or a portion of the above limitation, then this limitation will apply to you to the fullest extent permitted by applicable law.

Exceptions: Nothing in these Terms is intended to exclude or limit liability that cannot be excluded under law (for example, certain statutory liabilities or liabilities for intentional misconduct or gross negligence). However, in any case, our liability is limited to the smallest extent permitted by law.

Because some jurisdictions do not allow the exclusion or limitation of certain damages, the above limitations may not apply to you in full. In such jurisdictions, our liability will be limited to the maximum extent permitted by the laws of that jurisdiction.

Indemnification

You agree to indemnify, defend, and hold harmless Petsly Studio and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) that arise from or relate to:

Your violation of these Terms or any applicable law or regulation;
Your infringement or violation of any rights of another person or entity (including intellectual property rights or privacy rights) through your use of the Services or any content you upload; and/or
Your misuse of the Services, User Content, or Generated Images.

We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense of such claim. You agree not to settle any such matter without the prior written consent of Petsly Studio. This indemnification obligation will survive any termination of your account or the Services.

Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of California, USA, without regard to its conflict of laws principles. By using the Service, you agree that any disputes or claims arising out of or in connection with these Terms or your use of the Services will be subject to the exclusive jurisdiction of the courts of the State of California, USA, unless applicable law requires otherwise. We also retain the right to seek injunctive or other equitable relief in any jurisdiction if necessary to prevent misuse of our Services or violation of intellectual property rights. If you reside outside of California, you understand that you are voluntarily choosing to use a U.S.-based service. Local mandatory consumer protection laws in your country of residence will still apply to you as required by law.

Changes to These Terms

Petsly Studio may update or modify these Terms from time to time. If we make material changes, we will provide notice to you by appropriate means – for example, by sending an email to the address associated with your account or by posting a prominent notice on our website – prior to the changes taking effect. The notice will designate a reasonable advance notice period, after which the new Terms will become effective. Continued Use Constitutes Acceptance: By continuing to access or use the Services after any updates to these Terms become effective, you agree to be bound by the revised Terms. If you do not agree to the modified Terms, you must stop using Petsly Studio and, if applicable, you should delete your account before the new Terms take effect.
